Todd has over 28 years of experience as an executive compensation attorney. He represents CEOs and other senior executives of public and privately owned companies, and senior financial professionals at investment managers, investment banks and other financial firms. He deals extensively with the tax, corporate governance, change in control and liquidity issues associated with executive compensation arrangements, as well as issues relating to the scope and enforcement of restrictive covenants. 

Between 1995 and 2006, Todd primarily handled executive compensation matters for buyers and sellers in merger and acquisition transactions. Since then, he has spent most of his time representing senior executives, often in the context of sale transactions and the retention of management teams. For professionals at private investment funds, he has routinely dealt with the complex arrangements that apply to portfolio managers and other key executives.

Todd has also handled ERISA investment matters for pension plan fiduciaries, investment managers and private investment funds, and he has worked on numerous transactions involving employee stock ownership plans and their related executive compensation arrangements.
